Wellnesys Technologies Pvt. Ltd., having its registered office at 2nd Floor, No 66/1 (Old No. 475), 33rd Cross Road, 7th Main, Jayanagar 4th Block, Bengaluru – 560011, Karnataka, India ("Company" or "we" or "us" or "our"), is the owner of the website domain at https://yogifismart.com and the mobile application YogiFi available at Google Play Store / Apple App Store (collectively referred to as the "Platform"). The Company also manufactures and sells the YogiFi Sens AI Band ("Band"), a screenless biometric wearable device.

The Company requests the User (as defined below) to carefully read these Terms of Service ("Terms of Service" or "Agreement" or "TOS" or "Terms") prior to accessing the Platform, purchasing the Band, or availing Services (as defined below). If the User continues to browse and use the Platform, pair or use the Band, or avail Services, the User irrevocably and unconditionally agrees to comply with, abide by, and be bound by all obligations stipulated in this TOS, which together with our Privacy Policy available at https://yogifismart.com/policies/privacy-policy and any other applicable policies referred to herein or made available on the Platform (collectively referred to as "Terms and Conditions"). These Terms and Conditions govern the Company's relationship with the User in relation to the usage of the Platform and the Band. These Terms and Conditions supersede all previous oral or written terms and conditions (if any) communicated to the User.

IF YOU DO NOT AGREE TO BE BOUND BY ALL TERMS AND CONDITIONS IN THIS TOS, PLEASE DO NOT USE THE PLATFORM, THE BAND, OR ANY SERVICES.

1. Definitions

"Band" or "Product" means the YogiFi Sens AI Band — a screenless biometric wearable sensor device manufactured and sold by the Company.

"Company", "we", "us", or "our" means Wellnesys Pvt. Ltd. and any of its subsidiaries and affiliates.

"Service(s)" means all services provided through the Platform, the Band, and the YogiFi app, as described in further detail under Clause 3 below. Services may change from time to time at the sole discretion of the Company.

"Platform" means the website at https://yogifismart.com and the YogiFi mobile application available on the Google Play Store and Apple App Store, collectively.

"User" or "you" shall mean any person or entity who purchases or uses the Band, avails Services on the Platform, or is registered on the Platform.

"Biometric and Health Data" means physiological data continuously or periodically generated by the Band's onboard sensors, including but not limited to heart rate, HRV, SpO₂, blood pressure trends, sleep staging, stress index, skin temperature, VO₂ Max estimate, respiratory rate, activity data, and mood score.

"Essentials" means the free tier of the YogiFi app subscription included with every Band purchase, as described in Clause 3.

"Elite" means the optional paid subscription tier of the YogiFi app, as described in Clause 3.

2. Updation of Terms and Conditions

Your use of the Platform and the Band is subject to these Terms and Conditions, which may be updated, amended, modified, or revised by us from time to time with or without prior notice to you. It is your responsibility to refer to the Terms and Conditions periodically to remain aware of any changes. Updated Terms and Conditions shall be effective immediately upon posting and shall supersede the previous version. We are not under an obligation to individually notify you of any changes. If you continue to use the Platform, the Band, or any Services after the updated Terms and Conditions have been published, it shall be deemed that you have read, understood, and accepted the updated Terms and Conditions.

3. Service(s) Provided to Users

The Company offers a Platform and a biometric wearable device (the Band) through which Users can access health and wellness services via the YogiFi app. Services include, but are not limited to:

•  Continuous biometric monitoring through the Band's sensors, including heart rate, HRV, SpO₂, sleep staging, stress index, skin temperature, VO₂ Max estimation, respiratory rate, and activity tracking;

•  A Daily Readiness Score generated by the YogiFi app based on your biometric data, reflecting your body's current physiological state;

•  AI-powered personalised wellness program recommendations — including yoga, breathwork, and meditation sessions — prescribed by the YogiFi app based on your Band data;

•  Sleep tracking and overnight recovery analysis, with morning practice recommendations calibrated to your sleep quality;

•  Stress detection and real-time recommendations for calming breathwork or restorative sessions when elevated stress is detected;

•  Access to the YogiFi content library — yoga video library, pranayama programs, guided meditation, and AI Trainer Programs — through the YogiFi mobile app;

•  Self-assessment tools, wellness check-ins, and community features within the YogiFi app;

•  Integration with the YogiFi Smart Mat (optional) for in-session posture correction and movement analysis — the Smart Mat is a separate product and is not required to use the Band or avail core Services;

•  Access to the YogiFi Essentials tier (free, included with every Band) and the optional Elite subscription tier, as set out in the subscription structure on the Platform.


The Band functions as a biometric sensor device. Full value of the Band's Services is delivered through the YogiFi app. Users who do not install and activate the YogiFi app will have limited access to Services. It is the User's responsibility to maintain the Band in good working condition and keep the YogiFi app updated.

The Company reserves the right to modify, add, or discontinue Services at any time with or without prior notice. Any modifications will be published on the Platform.

4. Product — Purchase and Support

4.1 Purchase

The Band must be purchased through the Company's official website at https://yogifismart.com or through authorised retail channels as listed on the Platform. The Company does not authorise the sale of the Band through any other third-party marketplace unless expressly stated on the Platform.

4.2 User Acknowledgements

a. In order to avail full Services, the Band must be in a good and functional condition and paired with a compatible device running the YogiFi app (iOS 14+ or Android 8+).

b. The User shall not sublet, lease, or commercially exploit the Band.

c. The Band is a consumer wellness device and not a medical diagnostic instrument. Biometric readings including blood pressure trends, SpO₂, and VO₂ Max are estimates intended for wellness guidance only and must not be used as a substitute for professional medical advice.

4.3 Product Warranty

The Company warrants that for a period of one (1) year from the date of delivery of the Band ("Warranty Period"), the Band shall be free from material defects in hardware and shall adhere to the specifications stated at https://yogifismart.com ("Product Warranty"). In the event of a breach of Product Warranty:

a. The Company shall repair the defective component; or

b. If the Company is unable to repair the defective component, replace the Band; or

c. If the Company is unable to repair or replace the Band, provide a refund of the total purchase value of the Band.

The User agrees and acknowledges that the remedies stated above shall be the sole and exclusive remedies available in the event of a breach of Product Warranty. The Company shall not be liable for such remedies where the breach of Product Warranty arose due to the acts, omissions, or negligence of the User, including but not limited to physical damage, unauthorised modification, or use contrary to the Product guidelines.

The Product Warranty is valid only in jurisdictions where the Band is sold by the Company and to the extent permitted by the applicable laws of such jurisdictions. Any replacement Band will be warranted for the remainder of the original Warranty Period or thirty (30) days, whichever is longer, or for any additional period required by applicable law.

4.4 Customer Support

For any issues relating to the Band — including hardware concerns, pairing issues, or Warranty claims — please contact our support team using the details in Clause 18 below.

5. Eligibility

By using the Platform or the Band, you affirm that you are at least 18 years of age and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms and Conditions. Registration on the Platform is available only to persons who can form legally binding contracts under applicable law.

The Band is intended for general wellness use by adults. Users with existing medical conditions, chronic illnesses, cardiac conditions, or any injury or disability should consult a qualified medical professional before using the Band or following any program recommendations generated by the YogiFi app.

6. User Account Registration

6.1 Users who are at least 18 years of age may create an account on the Platform and purchase the Band or subscribe to Services. Any purchase by a person under 18 is expressly prohibited. In order to use the Platform, you must create an account ("Account"). If Services are to be used by a minor, a parent or guardian shall create an Account on behalf of the minor and shall be responsible for all acts and omissions of the minor.

6.2 You may create an Account by registering directly through the Platform or by linking to a third-party social networking account ("Third-Party Account"), including Google, Facebook, or Apple, as described below:

a. You may link your Account to a Third-Party Account by providing your Third-Party Account login information to the Platform, or by permitting the Platform to access your Third-Party Account as permitted by that account's terms. You represent that you are entitled to disclose your Third-Party Account login information to the Platform without breach of any third-party terms.

b. By granting the Company access to any Third-Party Account, you understand that the Company may access, make available, and store content from your Third-Party Account so that it is available on and through the Platform.

c. If a Third-Party Account becomes unavailable or access is terminated by the third-party provider, content from that account will no longer be available through the Platform. You may disconnect Third-Party Account connections at any time through the Settings section of the Platform.

d. Your relationship with third-party service providers is governed solely by your agreement with those providers. The Company is not responsible for any third-party account content.

7. Platform Licence.

7.1 Subject to your compliance with the TOS, the Company grants you a limited, non-exclusive, non-transferable licence: (i) to view, download, and print any content of the Platform solely for your personal and non-commercial purposes; and (ii) to access and use any content to which you are permitted access, solely for your personal and non-commercial purposes. You have no right to sublicense the licence rights granted herein.

7.2 You will not use, copy, adapt, modify, prepare derivative works based upon, distribute, licence, sell, transfer, publicly display, publicly perform, transmit, stream, broadcast, or otherwise exploit the Platform and Services, except as expressly permitted in these TOS. No licences or rights are granted to you by implication or otherwise under any intellectual property rights owned or controlled by the Platform or its licensors, except for the licences and rights expressly granted in these TOS.

8. Fees and Subscription

8.1 The Band is sold at the price listed on the Platform at the time of purchase. Pre-order pricing, early bird pricing, and promotional pricing are valid only during the periods specified on the Platform and are subject to availability.

8.2 Every Band purchase includes access to the YogiFi Essentials subscription tier at no cost, for as long as the User's account remains active. The Essentials tier includes core biometric tracking, basic sleep and stress monitoring, a general wellness content library, and one AI program recommendation per day. No credit card is required for the Essentials tier.

8.3 The YogiFi Elite subscription is an optional paid tier that unlocks full AI program recommendations, unlimited content libraries, advanced biometric insights, blood pressure trends, VO₂ Max, detailed sleep staging, and additional features as listed on the Platform. Elite is priced at ₹499 per month or ₹3,599 per year (saving 40%). Elite comes with a free trial of 3 months for Band purchasers, and 6 months for users purchasing the Band and Smart Mat bundle. USD pricing is available on the Platform for international users.

8.4 The Company reserves the right to adjust pricing for the Band or subscription tiers at any time. Price changes will take effect following notice to the User as posted on the Platform.

8.5 Each party shall comply with applicable tax laws and shall be liable to fulfil its respective tax obligations.

9. Cancellation and Refund Policy

9.1 Pre-Order Cancellation: Users who have placed a pre-order for the Band may cancel and receive a full refund at any time before the Band has been shipped. Once shipping has been initiated, the standard return policy applies.

9.2 Return Policy: The User shall have the right to return the Band within thirty (30) days from the date of delivery of the Band in original, undamaged condition. Return shipping costs from the User's location to the Company's premises are to be borne by the User unless the return is due to a defect covered under the Product Warranty.

9.3 Subscription Cancellation: The User may cancel the Elite subscription at any time through the Platform. The effective date of cancellation shall be the end of the current billing period. When you cancel, you will not receive a refund for the current subscription term already paid; however, you will continue to have full access to Elite until the end of that current term. Upon cancellation, your account will revert to the Essentials tier, which remains free forever.

10. Compliance with Applicable Laws

10.1 The Band and Services are intended for use in India as the primary market, with global availability in Phase 2. The User agrees to comply with all applicable local, national, and international laws and regulations in connection with their use of the Band and Services.

10.2 No Services from the Platform may be downloaded or otherwise exported or re-exported in breach of applicable export controls or trade sanctions. By using the Services, you warrant that you are not located in, under the control of, or a national or resident of any country subject to applicable trade restrictions, and that you are not on any applicable restricted-party list.

11. Use of Your Information and Content

11.1 If you create, transmit, submit, or otherwise make available any information while using the Services, you may provide only information that you own or have the right to use. We may use the information you provide only as permitted by our Privacy Policy and applicable law. Please review our Privacy Policy available at https://yogifismart.com/policies/privacy-policy for information on how we use and disclose your personal information and Biometric and Health Data. Our Privacy Policy is hereby incorporated into these Terms of Service by this reference.

11.2 We reserve the right to maintain, delete, or destroy all information and materials posted or uploaded through the Services pursuant to our internal record retention and/or destruction policies. While we make commercially reasonable efforts to ensure that data stored on our servers is persistent and available to the User, we will not be responsible for the failure of third-party servers or factors outside our reasonable control that may cause User data to be permanently deleted, irretrievable, or temporarily inaccessible.

11.3 You acknowledge and agree that we may preserve your information and may disclose related information if required to do so by law, or in the good faith belief that such preservation or disclosure is reasonably necessary to: (a) comply with legal process, applicable laws, or government requests; (b) enforce these TOS; (c) respond to claims that your use of the Platform or Band violates the rights of third parties; (d) detect, prevent, or address fraud, security, or technical issues; or (e) protect the rights, property, or personal safety of the Platform, its users, or the public.

12. Third-Party Services

The Company may enable Users to connect with third-party service providers through the Platform. The Company is not responsible for and does not endorse any third-party services. The Company shall in no way be responsible for any acts or omissions of third parties. Any transaction, dealings, or communication that the User may have with such third parties is at the User's own risk, and the Company makes no warranties, express or implied, regarding the quality or suitability of any third-party services or products.

13. Rules and Conduct

13.1 As a condition of use, you agree not to use the Services, the Band, or the Platform for any purpose that is prohibited by these TOS, other rules or policies implemented by us from time to time, or in violation of any applicable law. The Services are provided only for your own personal and non-commercial use.

13.2 By way of example and not as a limitation, you shall not (and shall not permit any third party to):

i. take any action that constitutes a violation of any applicable law, rule, or regulation;

ii. infringe on any intellectual property or other right of any person or entity;

iii. engage in threatening, abusive, harassing, defamatory, deceptive, fraudulent, or otherwise unlawful conduct;

iv. impersonate any person or entity;

v. share information that may be harmful to minors under 18 years of age;

vi. share content that threatens the unity, integrity, defence, security, or sovereignty of India, or causes incitement to any offence;

vii. share content that is invasive of another's privacy, hateful, racially or ethnically objectionable, or otherwise unlawful.

13.3 You shall further not (directly or indirectly):

i. impose or attempt to impose an unreasonable or disproportionately large load on Company's infrastructure;

ii. interfere with the proper working of the Platform or Band;

iii. bypass any measures used to prevent or restrict access to the Platform;

iv. decipher, decompile, disassemble, or reverse engineer any part of the Platform, Band firmware, or underlying algorithms;

v. modify, translate, or create derivative works of any part of the Platform or Band software;

vi. copy, rent, lease, distribute, or transfer any rights received under these TOS.

The Company shall, upon becoming aware of any such activity, be entitled to disable the relevant information, terminate the User's account, and preserve records for at least 90 (ninety) days for production to governmental authorities.

14. Health and Wellness Disclaimer

14.1 The Sens AI Band is a consumer wellness device and is not a medical device. Biometric readings generated by the Band — including but not limited to heart rate, SpO₂, blood pressure trends, sleep staging, stress index, and VO₂ Max estimates — are intended for general wellness guidance only. These readings are not clinical measurements and must not be used to diagnose, treat, prevent, or manage any medical condition.

14.2 The Company shall not be responsible for any disability, injury, incapacitation, or harm caused by your participation in yoga, breathwork, or any other physical or wellness activity recommended through the YogiFi app, whether or not such recommendation was generated based on Band data.

14.3 The Company advises all Users to consult a qualified medical professional before undertaking any physical activity, including yoga or breathwork, particularly if they suffer from existing or chronic injuries, cardiovascular conditions, respiratory conditions, or any other disability or illness.

14.4 The programs and recommendations provided through the YogiFi app are not a healing technique and are not a substitute for medical advice, diagnosis, or treatment. If you experience any pain, discomfort, or adverse reaction while following any program or recommendation from the YogiFi app, please seek medical advice immediately.

14.5 You agree and accept complete responsibility for your physical and general well-being while using the Band and availing Services.

14.6 THE COMPANY SHALL NOT BE RESPONSIBLE FOR DEATH OF ANY PARTICIPANT WHICH MAY BE ATTRIBUTED EITHER DIRECTLY OR INDIRECTLY TO USE OF THE BAND OR PARTICIPATION IN OR FOLLOWING THE RECOMMENDATIONS OR PROGRAMS OF THE COMPANY.

15. Alerts and Notifications

15.1 The Company may provide automatic notifications and wellness alerts through the YogiFi app based on data received from the Band, including readiness alerts, stress notifications, and program reminders.

15.2 You understand and agree that any alerts provided through the Platform or YogiFi app may be delayed or prevented by a variety of factors. The Company will endeavour to provide alerts in a timely manner with accurate information; however, the Company neither guarantees the delivery nor the accuracy of any alert. You agree that the Company shall not be liable for any delays, failure to deliver, or misdirected delivery of any alert; for any errors in the content of an alert; or for any actions taken or not taken by you or any third party in reliance on an alert.

16. Communication

You agree that we may contact you through telephone, email, SMS, or any other means of communication for the purpose of:

a. obtaining feedback in relation to the Platform, Services, or the Band;

b. resolving any complaints, information requests, or queries;

c. notifying you about updates to the Band's firmware, the YogiFi app, or these Terms and Conditions.

You agree to provide your fullest co-operation further to such communication by the Company. By submitting suggestions or other feedback regarding the Services, the Platform, or the Band, you agree that we may use and share such feedback for any purpose without any compensation to you, and we are under no obligation to keep such feedback confidential.

17. Profile Ownership and Editing Rights

We provide a tool to update your profile information. We reserve the right to moderate changes or updates requested by you and may take an independent decision whether to publish or reject any such requests. You represent and warrant that you are fully entitled, under applicable law, to provide information as part of your profile or otherwise while using our Services, and that no such information breaches any third-party rights including intellectual property rights and applicable data protection laws. Upon becoming aware of a breach of this representation, we may modify or delete parts of your profile information at our sole discretion.

The Company offers email-based and online support for all queries relating to the Band, the YogiFi app, pre-orders, subscriptions, Warranty claims, and general account support. Please contact our support team using the following channels:

The Company will endeavour to respond to all support queries within a reasonable time and in any case within 7 (seven) business days of receipt. The Company does not guarantee that all technical issues will be resolved. Any suggestions by Company regarding the use of the Services shall not be construed as a warranty.

19. Termination

We may terminate your usage of the Platform and/or access to Services at any time for any reason, including breach of these Terms and Conditions. We have the right (but not the obligation) to refuse to grant access to the Platform. Except for the rights and licences granted in these Terms, we reserve all other rights.

Once temporarily suspended, indefinitely suspended, or terminated, the User may not continue to use the Platform under the same account, a different account, or re-register under a new account. On termination of an account, the User shall no longer have access to data, messages, and other material stored on the Platform by the User. Termination of the User's account does not extinguish the Product Warranty, which shall remain in force for its stated duration.

All provisions of the TOS which by their nature should survive termination shall do so, including without limitation warranty disclaimers, indemnity, and limitations of liability.

20. Disclaimer

EXCEPT FOR THE PRODUCT WARRANTY (AS SPECIFIED IN CLAUSE 4.3), THE SERVICES (INCLUDING WITHOUT LIMITATION ANY CONTENT) ARE PROVIDED "AS IS" AND "AS AVAILABLE" AND WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. THE COMPANY, INCLUDING ITS DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, SPONSORS, AND PARTNERS DOES NOT WARRANT THAT: (A) THE SERVICE WILL BE SECURE OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (B) ANY DEFECTS OR ERRORS WILL BE CORRECTED; (C) ANY CONTENT OR SOFTWARE AVAILABLE AT OR THROUGH THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OF USING THE SERVICE WILL MEET YOUR REQUIREMENTS. YOUR USE OF THE SERVICE IS SOLELY AT YOUR OWN RISK.

THE BIOMETRIC AND HEALTH DATA GENERATED BY THE BAND IS PROVIDED FOR GENERAL WELLNESS GUIDANCE ONLY AND DOES NOT CONSTITUTE MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. THE COMPANY MAKES NO WARRANTY AS TO THE CLINICAL ACCURACY, PRECISION, OR RELIABILITY OF ANY BIOMETRIC READING GENERATED BY THE BAND.

COMPANY ADVISES YOU TO CONSULT YOUR PHYSICIAN BEFORE FOLLOWING ANY PROGRAM OR RECOMMENDATION GENERATED BY THE YOGIFI APP, IF YOU SUFFER FROM ANY EXISTING OR CHRONIC INJURY, ILLNESS, CARDIOVASCULAR OR RESPIRATORY CONDITION, OR ANY DISABILITY. IF YOU EXPERIENCE ANY PAIN OR DISCOMFORT WHILE FOLLOWING THE ACTIVITIES OR PROGRAMS AS PART OF THE SERVICES, PLEASE SEEK MEDICAL ADVICE IMMEDIATELY.

21. Indemnification

You shall defend, indemnify, and hold harmless the Company, its affiliates, subsidiaries, joint venture partners, and each of their employees, contractors, directors, suppliers, and representatives from all liabilities, losses, claims, and expenses, including reasonable legal fees, that arise from or relate to: (i) your use or misuse of, or access to, the Services, the Band, or the Platform; (ii) your violation of these Terms and Conditions; or (iii) your violation of any applicable law, contract, policy, or regulation. We reserve the right to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which event you will assist and cooperate with us in connection therewith.

22. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY (INCLUDING ITS DIRECTORS, EMPLOYEES, AGENTS, SPONSORS, PARTNERS, SUPPLIERS, CONTENT PROVIDERS, LICENSORS, OR RESELLERS) BE LIABLE UNDER CONTRACT, TORT, STRICT LIABILITY, NEGLIGENCE OR ANY OTHER LEGAL OR EQUITABLE THEORY WITH RESPECT TO THE SERVICES: (I) FOR ANY LOST PROFITS, DATA LOSS, LOSS OF GOODWILL OR OPPORTUNITY, OR SPECIAL, INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER; (II) FOR YOUR RELIANCE ON THE SERVICES OR ANY BIOMETRIC RECOMMENDATION GENERATED THEREBY; (III) FOR ANY DIRECT DAMAGES IN EXCESS OF THE TOTAL PURCHASE VALUE OF THE BAND; OR (IV) FOR ANY MATTER BEYOND ITS REASONABLE CONTROL.

IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SERVICE OR WITH THESE TERMS, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USE OF THE SERVICE.


23. Exemptions from Liability

You agree and confirm that Company shall not be responsible for any delay, unavailability of Services, or failure to meet its obligations under these Terms and Conditions which may be caused, directly or indirectly, due to:

a. your failure to cooperate or provide accurate information;

b. your unavailability or unresponsiveness;

c. your failure to maintain the Band in working condition or update the YogiFi app;

d. incompatibility of the Band with your device due to an unsupported operating system version; or

e. any event beyond the Company's reasonable control, including but not limited to natural disasters, government actions, power outages, or failures of third-party infrastructure.


24. Dispute Resolution

24.1 Pre-Dispute Resolution

The Company is always interested in resolving disputes amicably and efficiently. Most concerns can be resolved quickly by contacting our support team at support@yogifismart.com. If such efforts prove unsuccessful, a party who intends to seek further resolution must first send written notice to the other party describing the nature and basis of the claim and the specific relief sought. If the Company and you do not resolve the claim within sixty (60) calendar days after the Notice is received, either party may initiate formal proceedings as described below.

24.2 Arbitration

You agree that any and all disputes or claims that have arisen or may arise between you and the Company, whether arising out of or relating to these Terms and Conditions (including any alleged breach thereof), the Band, the Services, or any aspect of the relationship or transactions between us, shall be resolved exclusively through final and binding arbitration, rather than in court, in accordance with the Arbitration and Conciliation Act, 1996 (India), as amended from time to time. The seat and venue of arbitration shall be Bengaluru, Karnataka, India. The arbitration shall be conducted in English before a sole arbitrator mutually agreed upon by the parties.

24.3 Prohibition of Class Actions

You and the Company agree that each of us may bring claims against the other only on an individual basis and not as a plaintiff or class member in any purported class or representative action. The arbitrator may not consolidate or join more than one person's or party's claims and may not preside over any form of consolidated, representative, or class proceeding.

24.4 Confidentiality

All aspects of the arbitration proceeding and any ruling, decision, or award by the arbitrator will be strictly confidential for the benefit of all parties.

24.5 Severability

If a court or arbitrator decides that any term or provision of this Clause 24 is invalid or unenforceable, the parties agree to replace such term or provision with one that is valid and enforceable and comes closest to expressing the original intention. If the class action prohibition in Clause 24.3 is found to be invalid or unenforceable, then the entirety of the arbitration agreement in this Clause shall be null and void, and the dispute shall be resolved by courts of competent jurisdiction as set out in Clause 25.


25. Governing Law and Jurisdiction

These Terms and Conditions, the Services, the Band, and any disputes arising therefrom shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. With respect to any disputes or claims not subject to arbitration under Clause 24, you and the Company agree to submit to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India.


26. Miscellaneous

a. These Terms and Conditions constitute the entire agreement and understanding between you and the Company with respect to the Band, Services, and usage of the Platform.

b. If any provision of these Terms and Conditions is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms and Conditions remain in full force and effect.

c. The failure of either party to exercise any right provided for herein shall not be deemed a waiver of any further rights.

d. These Terms and Conditions are personal to you and are not assignable or transferable by you except with the Company's prior written consent. The Company may assign, transfer, or delegate any of its rights and obligations without your consent.

e. No agency, partnership, joint venture, or employment relationship is created as a result of these Terms and Conditions. All notices under the Terms and Conditions shall be in writing and shall be deemed to have been duly given when received if personally delivered; when receipt is electronically confirmed if transmitted by email; or two (2) days after it is sent if sent by recognised overnight delivery service.

27. Grievance Redressal Mechanism

Any discrepancies or grievances with regard to content, Services, the Band, or breach of these Terms and Conditions shall be directed to our support team in writing or through email. We assure you that grievances will be redressed expeditiously and within one (1) month from the date of receipt:
